Full Core IDO Agreement
1. Introduction
This Full Core IDO Agreement (“Agreement”) governs your access to and use of the Caratix node software (the “Node Software”) and any associated node license non-fungible tokens (“Node Licenses”). This Agreement is a binding legal contract between you and Caratix Global Ltd., a British Virgin Islands business company (“Company,” “we,” or “us”).
By downloading, installing, accessing, or using the Node Software or purchasing, accessing, or using a Node License, you confirm that you have read, understood, and agree to be bound by this Agreement in full. If you do not agree with any term of this Agreement, you are strictly prohibited from using platform.
1.1 Definitions
For purposes of this Agreement:
“Caratix” means the decentralized computation and infrastructure protocol, including all systems, smart contracts, services, components, interfaces, tools, and governance mechanisms developed or maintained by the Company or its affiliates, enabling or coordinating the operation of nodes utilizing the Node Software and Node Licenses.
“Restricted Person” means any individual or entity that: (i) is subject to a Restricted Jurisdiction; (ii) appears on or is owned/controlled by any sanctioned-party list (U.S. OFAC, EU, UN, UK, etc.); (iii) acts on behalf of such persons; or (iv) uses VPNs, proxies, or location-masking tools to circumvent geographic restrictions.
2. Eligibility Requirements
2.1 Age and Capacity
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter binding agreements.
2.2 Restricted Jurisdictions
You represent, warrant, and covenant that you are not:
a citizen, resident, or entity organized in the United States, China, North Korea, Iran, Syria, Cuba, Venezuela, Russia, Crimea, Belarus,
or any other jurisdiction under sanctions by the U.S., U.K., or E.U. (“Restricted Jurisdictions”).
You will not use VPNs, proxies, or other means to bypass restrictions.
U.S. Persons are strictly prohibited from using the Node Software or from accessing any functionality relating to earning, claiming, transferring, or acquiring digital assets.
2.3 KYC and Identity Verification
Caratix may require KYC/AML verification to:
Purchase or access a Node License
Operate the Node Software
Claim or redeem Network Rewards
Determine eligibility within the Caratix Network
You agree to provide accurate information and update it when necessary. Failure to complete KYC voids all rights, including the right to refunds or compensation, and you expressly waive all related claims.
3. License Grant and Restrictions
3.1 Limited License Grant
Subject to full compliance with this Agreement, Caratix grants you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to download, install, and use the Node Software solely for operating Caratix nodes.
Transferability of Node Licenses is governed exclusively by Clause 4.2.
3.2 Restrictions
You agree not to:
Copy, distribute, lease, sublicense, or exploit the Node Software
Sell or transfer Node Licenses during the 12-month Restricted Period
Reverse-engineer or attempt to access source code
Create modifications or derivative works
Circumvent security features
Use the Node Software unlawfully
You may delegate node operation to a NaaS provider, but:
They must not be a Restricted Person
You retain full responsibility
Delegation does not constitute transfer of the Node License
3.3 Operational Use
Caratix may use the Node Software or Node Licenses internally for operational network purposes.
4. Node Licenses
4.1 Nature
Node Licenses:
Provide access credentials to the Caratix
Do not confer equity, debt, ownership, profits, revenue share, or governance rights
Are not securities or investment instruments
4.2 Transferability
Node Licenses are:
After the Restricted Period, transferable only in compliance with applicable laws and Company requirements
Any transfer assigns rights under this Agreement to the transferee
The Company holds no liability regarding transfers post-Restricted Period
4.3 No Refunds
All node purchases and transfers are final and non-refundable. Failures in KYC, regulatory changes, or modifications to Caratix Network features do not entitle you to refunds.
4.4 Software Updates
The Node Software may auto-update. Disabling updates may impair node functionality or reward eligibility.
5. Network Rewards
5.1 Eligibility
Operating a node may allow earning Network Rewards, but:
Rewards are not guaranteed
Rewards may be withheld, adjusted, or canceled
Eligibility requires uptime, performance metrics, and KYC completion
5.2 Expiration and Slashing
Rewards expire after 180 days if unclaimed
Slashing may occur due to:
Downtime
Invalid submissions
Harmful or non-compliant behavior
The Company is not liable for expired or slashed rewards.
5.3 Redemption Requirements
You cannot redeem rewards unless you:
Complete KYC/AML and sanctions screening
Provide any additional compliance information requested
Caratix may refuse redemption if required information is missing or redemption poses regulatory or compliance risk.
6. Prohibited Activities
You shall not:
Interfere with the Caratix or users
Violate export controls, sanctions, AML laws
Introduce malware
Reverse-engineer or attack network components
Build competing services using Caratix IP
Use excessive or abusive system resources
Forge packets or impersonate Caratix
7. Intellectual Property
All rights in the Node Software, Node Licenses, Caratix Network, and related IP belong exclusively to Caratix Global Ltd. and its licensors. Unauthorized use constitutes breach and may violate law.
8. Disclaimers
8.1 No Warranties
The Node Software and Node Licenses are provided “as is”, without warranties of any kind. You bear all risks associated with usage.
8.2 No Investment or Advice
Node Licenses are not investments. Nothing provided by Caratix constitutes legal, tax, or financial advice.
8.3 Disclaimer on Future Token Issuance
Caratix may launch a native token (e.g., “Caratix Token” or $CRT). However:
There is no guarantee of issuance
Node Licenses do not entitle you to tokens
Eligibility and allocations may be subject to separate conditions
Caratix can modify or cancel token plans at any time
Participation does not grant any right to tokens.
9. Limitation of Liability
Caratix shall not be liable for:
Indirect or consequential damages
Lost profits, data, goodwill
More than USD 100 in aggregate liability
10. Indemnification
You agree to indemnify and hold harmless Caratix and affiliates against claims arising from:
Your use of the Node Software
Your breach of this Agreement
Your data, behavior, or third-party rights violations
11. Termination
Caratix may suspend or terminate your license at any time. Upon termination:
All rights immediately cease
Node Software copies must be destroyed
Caratix owes you no compensation
12. Dispute Resolution and Governing Law
12.1 Informal Resolution

12.2 Binding Arbitration
All disputes shall be resolved by binding arbitration under the BVI International Arbitration Centre (BVI IAC). Language: English Seat: British Virgin Islands
12.3 Confidentiality
Arbitration proceedings are confidential except where disclosure is legally required.
12.4 Governing Law
This Agreement is governed by BVI law.
13. Assignment
You may not assign rights except where allowed under Clause 4.2. Caratix may assign or transfer this Agreement without consent.
14. Amendments
Caratix may amend this Agreement at any time. Continued use constitutes acceptance.
15. Severability
Invalid provisions will be replaced with enforceable equivalents.
16. No Third-Party Beneficiaries
No one besides the parties has rights under this Agreement.
17. Force Majeure
Caratix is not liable for delays caused by external uncontrollable events.
18. Assumption of Risks
You acknowledge the risks of emerging technologies, including:
System failures
Security issues
Protocol changes
Regulatory uncertainty
Network congestion
Total loss of utility or value
You assume all risks and waive all related claims against Caratix.
